Acceptance of These Terms
These Terms of Service ("Terms") form a legally binding agreement between you and FlashListing ("FlashListing," "we," "us," or "our") governing your access to and use of FlashListing.io, related websites, dashboards, public sale pages, collaborator tools, inquiry features, image hosting, email notifications, and other services we provide (collectively, the "Service").
By creating an account, signing in, publishing a sale page, submitting an inquiry, accepting a collaborator invite, uploading content, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally able to enter contracts to create an account, publish listings, or act as a seller or collaborator.
FlashListing's Role as a Limited Platform Intermediary
FlashListing provides software tools that help sellers create public sale catalogs, display user-generated listings, host images, share sale links, receive buyer inquiries, and collaborate with invited team members. FlashListing is a listing, discovery, and communication tool only.
FlashListing is not the seller, buyer, broker, auctioneer, escrow agent, payment processor, shipping provider, appraiser, insurer, product inspector, legal advisor, tax advisor, or party to any transaction between users. We do not take title to listed items, verify item ownership, guarantee product quality, guarantee item legality, guarantee buyer payment, or guarantee that any transaction will occur.
All negotiations, payments, pickups, deliveries, taxes, refunds, returns, product inspections, and dispute resolution for listed items are solely between sellers, buyers, and any other involved third parties.
Accounts, Authentication, and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate account information, keep your email address current, and notify us promptly if you suspect unauthorized access.
We may require authentication through Supabase or other providers. You authorize us and our service providers to process authentication information as necessary to operate, secure, and support your account.
We may suspend, restrict, or terminate account access if we believe an account is compromised, used fraudulently, violates these Terms, creates legal risk, or may harm FlashListing, users, buyers, or third parties.
Seller Responsibilities and Legal Compliance
Sellers are solely responsible for every sale page, item, photo, description, price, condition statement, pickup instruction, contact method, and representation they create or publish. By creating or publishing a listing, you represent and warrant that:
- You own the item or are legally authorized to sell it.
- The item may be lawfully advertised, transferred, and sold.
- Your listing is accurate, complete, non-deceptive, and not misleading.
- Your photos and text do not infringe third-party rights.
- You will comply with applicable federal, state, local, and tax laws.
- You will not list prohibited, stolen, counterfeit, recalled, unsafe, regulated, or illegal items.
Sellers are responsible for sales tax, income tax, licensing, permitting, consumer protection obligations, item condition disclosures, safety recalls, and any other legal requirements related to their listings and transactions.
Buyer Inquiries and Buyer Responsibility
Buyers and visitors may browse public sale pages and submit inquiries to sellers. FlashListing does not verify seller identity, item ownership, item condition, pricing, availability, legality, or transaction terms.
Buyers are responsible for evaluating listings, asking questions, inspecting items, choosing safe meeting arrangements, and deciding whether to proceed with a transaction. FlashListing is not liable for seller conduct, buyer conduct, item condition, non-payment, failed pickup, fraud, injury, loss, or disputes.
Collaborator Features
Sale owners may invite collaborators to help manage sale catalogs. Collaborator roles may include viewing, editing, adding items, uploading photos, or other permissions shown in the product.
Sale owners are responsible for choosing collaborators carefully, assigning appropriate permissions, monitoring collaborator activity, and removing access when appropriate. FlashListing is not responsible for losses, errors, unauthorized edits, misleading listings, deletion of content, privacy issues, disputes, or other harm caused by collaborators invited by or associated with a sale owner.
Collaborators must comply with these Terms and may only access sale data they are authorized to access. Misuse of collaborator access may result in account suspension, removal, or legal action.
User-Generated Content and Public Listings
You retain ownership of content you submit, including item photos, descriptions, prices, categories, sale details, and messages. You grant FlashListing a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, resize, compress, display, distribute, transmit, and otherwise use that content as necessary to provide, secure, promote, and improve the Service.
Published sale pages are public and may be viewed by anyone with the URL. Public pages may be indexed, cached, copied, shared, screenshotted, or archived by third parties outside our control. Do not publish private or sensitive information you do not want visible to others.
We may remove, restrict, preserve, disable, or refuse to display any content at any time if we believe it violates these Terms, our Prohibited Items Policy, law, third-party rights, platform safety standards, or our business or legal interests.
Prohibited Conduct
You may not use the Service to:
- List, offer, promote, or facilitate illegal, unsafe, restricted, counterfeit, stolen, or prohibited items.
- Misrepresent item condition, ownership, availability, price, authenticity, or transaction terms.
- Commit or facilitate fraud, phishing, money laundering, identity theft, or deceptive activity.
- Harass, threaten, discriminate against, spam, or deceive any user or buyer.
- Upload malware, exploit vulnerabilities, scrape, crawl, reverse engineer, or interfere with the Service.
- Bypass usage limits, access controls, security features, rate limits, or collaborator permissions.
- Use the Service for unlawful, harmful, infringing, or abusive purposes.
Our prohibited item categories are explained in the Prohibited Items Policy. Sellers must also follow the Seller Conduct Standards, buyers should review the Buyer Safety Disclaimer, and all users must comply with the Acceptable Use Policy. We may update enforcement standards at any time.
Fraud Prevention, Safety, and Enforcement
We may monitor account activity, public listings, inquiries, upload patterns, reports, and technical signals to detect spam, fraud, abuse, illegal listings, security threats, and policy violations. We may use automated or manual review and may cooperate with law enforcement, regulators, rights holders, payment providers, infrastructure vendors, or affected parties where appropriate.
We may remove listings, disable public sale pages, limit messages, revoke collaborator access, suspend accounts, preserve records, block uploads, or take other protective measures without advance notice if we believe action is needed to protect users, buyers, third parties, the public, or FlashListing.
Intellectual Property and Copyright
FlashListing and its software, design, branding, logos, trade names, workflows, templates, and underlying technology are owned by FlashListing or its licensors and are protected by intellectual property laws. You may not copy, modify, sell, sublicense, reverse engineer, or exploit the Service except as expressly allowed by these Terms.
You represent that content you upload does not infringe copyright, trademark, privacy, publicity, contractual, or other third-party rights. We respond to copyright and rights reports through our Copyright Policy.
If you provide feedback, ideas, suggestions, or improvements, you grant FlashListing a perpetual, worldwide, royalty-free right to use them without restriction or compensation.
Subscriptions, Billing, and Payments
FlashListing offers free and paid subscription plans. Paid subscriptions are processed through Stripe, a third-party payment processor. By purchasing a subscription, you authorize FlashListing and Stripe to charge your payment method on a recurring basis at the then-current price for your plan until you cancel.
Automatic renewal
Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at checkout). You will be charged at the start of each new period unless you cancel before the renewal date. No separate renewal notice is sent before each charge.
Cancellation
You may cancel your subscription at any time through the billing portal in your dashboard, or by contacting hello@flashlisting.io. Cancellation takes effect at the end of your current billing period. You retain access to paid plan features until that date. No partial-period refunds are issued when canceling partway through a billing cycle.
Downgrade and restricted access
If your subscription expires, is canceled, is downgraded, or becomes inactive for any reason, your account will revert to the Free plan entitlements. If your active item count, sale count, or other usage exceeds the Free plan limits at that time, your account may enter restricted edit mode. In restricted mode:
- You cannot create new items, feature items, or create additional sale catalogs.
- All existing items, photos, sale pages, and content are preserved — nothing is deleted.
- You can delete or archive content to return within Free plan limits and restore full editing.
- Resubscribing to a paid plan immediately restores full access.
FlashListing is not liable for lost access, lost revenue, or business disruption resulting from plan expiration, payment failure, or restricted edit mode.
Refunds
Subscription payments are generally non-refundable. We do not issue refunds for partial billing periods, unused features, or plan changes. Exceptions may be granted on a case-by-case basis at FlashListing's sole discretion — for example, for verified accidental duplicate charges or processing errors. To request a refund exception, contact hello@flashlisting.io within 14 days of the charge in question. We are not obligated to issue a refund under any circumstances unless required by applicable law.
Promotional and founding pricing
Promotional prices, launch discounts, and founding-member pricing are time-limited and apply only for the period and billing cycles stated at the time of purchase. After a promotional period ends, your subscription renews at the then-current standard price. Promotional rates are non-transferable and may not be combined with other offers.
Price and plan changes
We may change subscription prices, plan features, usage limits, or available tiers at any time. Where legally required, we will provide advance notice of material price increases. Continued use of a paid subscription after a price change takes effect constitutes acceptance of the new price. You may cancel before any change takes effect if you do not accept the new terms.
Suspension for abuse or fraud
We may suspend, restrict, or terminate your subscription and account access immediately and without refund if we determine that your account has engaged in fraudulent activity, payment fraud, chargeback abuse, platform abuse, unauthorized access, violation of these Terms, or conduct harmful to FlashListing, its users, or third parties.
Billing portal
Paid subscribers can manage their subscription — including updating payment methods, viewing invoices, and canceling — through the Stripe Billing Portal, accessible from your dashboard. The portal is provided by Stripe and subject to Stripe's terms and privacy policy.
Third-Party Services
The Service uses third-party providers for infrastructure, authentication, database hosting, object storage, email delivery, analytics, security, and related operations, including Supabase, Cloudflare R2, Resend, and other vendors. Your use of the Service may involve processing by those providers as described in our Privacy Policy.
We are not responsible for third-party websites, buyer/seller tools, payment apps, external links, email clients, maps, messaging services, or other third-party services used outside FlashListing.
Disclaimers
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. FLASHLISTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND COURSE OF DEALING.
We do not warrant that listings are accurate, transactions will occur, buyers will pay, sellers will deliver, items are safe, lawful, authentic, available, or as described, or that disputes will be resolved to your satisfaction. You use public sale pages, buyer inquiries, collaborator tools, and in-person transaction arrangements at your own risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHLISTING AND ITS FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; BUSINESS INTERRUPTION; REPUTATIONAL HARM; PERSONAL INJURY; PROPERTY DAMAGE; FAILED TRANSACTIONS; BUYER OR SELLER DISPUTES; FRAUD; OR DAMAGES ARISING FROM USER CONTENT, LISTINGS, INQUIRIES, COLLABORATOR ACTIONS, OR IN-PERSON MEETINGS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHLISTING'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FLASHLISTING FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
Indemnification
You agree to defend, indemnify, and hold harmless FlashListing and its founders, officers, directors, employees, contractors, affiliates, agents, service providers, and licensors from and against all claims, demands, actions, damages, losses, liabilities, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use or misuse of the Service.
- Your listings, sale pages, photos, descriptions, messages, or other content.
- Your transactions, meetings, communications, taxes, refunds, disputes, or legal compliance.
- Your violation of these Terms, law, or third-party rights.
- Actions by collaborators you invite or authorize.
Suspension, Termination, and Content Removal
We may suspend, terminate, restrict, or delete accounts, sale pages, listings, images, inquiries, collaborator access, or other content at any time if we believe it is necessary to enforce these Terms, reduce legal risk, protect users, prevent fraud, respond to complaints, comply with law, or protect the Service.
You may stop using the Service at any time. Certain provisions, including ownership, license grants, disclaimers, limitation of liability, indemnification, dispute resolution, and terms that by their nature should survive, will survive termination.
Governing Law, Arbitration, and Dispute Resolution
These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-law rules. You and FlashListing agree to first attempt to resolve disputes informally by contacting legal@flashlisting.io.
To the maximum extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules. Arbitration will take place in North Carolina unless the parties agree otherwise, may be conducted remotely where permitted, and will be conducted only on an individual basis.
You and FlashListing waive the right to a jury trial and waive the right to participate in a class action, collective action, representative action, or class-wide arbitration. Either party may seek injunctive or equitable relief in court for intellectual property, security, unauthorized access, or misuse of the Service.
Changes and Contact
We may update these Terms from time to time. The "Last updated" date identifies the latest version. Continued use of the Service after updated Terms are posted means you accept the updated Terms.
